These Terms and Conditions govern your use of the “Bidygo” platform (the “Platform”), which is provided by Uraaa Inc. (the “Company”) in accordance with the requirements of the State of Delaware, USA. The purpose of the Platform is to provide a comprehensive shopping experience, both online and in physical Points of Sale or Stores, by giving you access to various online shopping websites, points of sale and stores, as well as enabling you to create your own wish list, add multiple items to a single shopping cart, set a price and track price decreases, and use other services available on the Platform.
By using any service offered on the Platform, you accept these Terms and Conditions in full and agree to comply with all rules and requirements set forth herein.
Please read these Terms and Conditions carefully. If for any reason you do not wish to agree to the Terms and Conditions below, you must immediately stop using the Platform and the Services offered through it. Otherwise, your continued use of the Platform and its Services shall be deemed your agreement to these Terms and Conditions and to the Platform’s Privacy Policy.
These Terms and Conditions, together with the Privacy Policy, govern the relationship between you and the Company during your continued use of the Platform. Such relationship may include, without limitation, interactive use of the Platform, mobile application, emails, newsletters, and other interactive features. Any relationship between you and the points of sale and stores available on the Platform shall be governed by the terms and conditions, terms of use, and other rules established by the relevant point of sale and/or store.
The Company has the right, at its sole discretion, to amend, revise and/or supplement these Terms and Conditions, in whole or in part, at any time. Such changes take effect immediately upon publication on the Platform. Following such notice, continued use of the Platform shall be deemed your automatic acceptance of these Terms and Conditions, including any changes and/or additions made by the Company in a permissible manner.
The Company may at any time, from time to time, limit access to certain or all parts of the Services and/or the Platform.

To use any service offered on the Platform, you may need to open an account, after which you may be required to log in to your account and link a valid payment method. If the Company or the Company’s payment processing service provider identifies any issue related to charging the linked payment method, you may be required to link another payment method until your purchase is completed. You may change your payment method at any time, provided you do not have any outstanding payments. You are fully responsible for maintaining the confidentiality of your account credentials, including your password and recovery methods, and for restricting access to your account by third parties. You are fully responsible for any and all actions taken under your name and through your account.
You may register on the Platform independently by providing the required information, including, without limitation, your email address, phone number, full name, delivery address, and other information as requested.
You may register on the Platform using an Apple Account, Facebook, Gmail, and/or other platforms that allow registration through an existing account. If you choose to connect via Apple Account, Facebook and/or Gmail (Google), or other platforms, you grant the Company access to basic information from your relevant accounts. Such information is collected by Apple, Facebook and/or Google and is therefore subject to their respective privacy policies. The Company bears no responsibility for, and exercises no control over, the privacy settings of individual accounts or the collection, protection, and use of data by those organizations.
The Platform allows you to create a wish list that includes any and all products selected by you that are offered on the Platform by a Point of Sale or Store. If you choose to make such wish list public, the products included may be visible to other Platform users. You may also choose to share your private wish list with third parties, who will be able to view it after registering on the Platform. You acknowledge that you are solely responsible for the visibility settings of your wish list.
You warrant that all registration information and personal data provided to the Platform is accurate and truthful.
The Platform may offer products intended for persons who have reached the age of 18. Persons who have reached the age of 18 may create an account on the Platform only with the participation of a parent or legal representative/guardian. Age-restricted products will not be displayed to users whose age does not meet the relevant requirements.
You agree not to use the Platform for any unlawful or prohibited purpose. This includes, without limitation, engaging in fraudulent activity, infringing intellectual property rights, distributing viruses or other malicious software, or otherwise interfering with the proper functioning of the Platform.
The Platform reserves the right, at any time and at its sole discretion, to refuse, modify, or discontinue all or part of the Services, suspend and/or deactivate your account, and/or cancel orders.
The Platform allows you to set your own price for products available on the Platform and sold by Points of Sale or Stores, after which the relevant point of sale or store may accept or reject your proposed price and may also propose a different price for such product. The Company bears no responsibility to ensure that your proposed price will be accepted by a point of sale or store or that the product will be sold to you at your proposed price. A point of sale or store may approve or reject your price offer in accordance with its own terms and conditions. The Company cannot set the price of a product on your behalf. We strongly recommend that, for any questions relating to acceptance and/or rejection of a price offer, you contact the relevant point of sale or store directly.

All product prices may change at any time without prior notice. Product availability may also change without prior notice.
The Platform allows you to activate notifications regarding a decrease in the price of a product you have selected, meaning you may choose to receive a notification when the product price decreases and approaches a specific amount set by you. If you indicate that you wish to receive such notifications, the Platform will notify you of such change. However, the Company does not guarantee that such price decrease will occur and bears no responsibility if such decrease does not occur.
You may, at your discretion, post reviews, comments, and other feedback regarding a specific product that you have previously purchased, provided that the content does not contain any unlawful, obscene, threatening, abusive, defamatory, privacy-infringing, third-party-rights-infringing, or otherwise illegal material. You may not post content containing software viruses, political content, commercial solicitations, mass messages, or any other form of spam. The Company has the right, at its discretion, to remove or edit any review, comment, or other feedback posted by you. The Company is not obligated to monitor activity in the reviews and comments section, but it has the right to modify that section at any time. If the Company becomes aware of any violation of these Terms and Conditions in the reviews and comments section, the Company has the right, at its discretion, to remedy such violations by any method it chooses, without prior notice.
The Company bears no responsibility for any user-generated content posted on the Platform, including reviews and comments. By continuing to use the Platform, you acknowledge that you may be exposed to content that may be offensive, harmful, inaccurate, or otherwise inappropriate or misleading. The Company bears no responsibility for any damage or loss arising from such content that is published or otherwise distributed on the Platform.
You may see on the Platform notes, comments, reviews, and other feedback about products that are published on the websites of a Point of Sale or Store. Such content is governed by the relevant point of sale’s or store’s own terms and conditions. The Company bears no responsibility for any review, note, comment, or other feedback visible on the Platform.
The Platform operates as an online intermediary by cooperating with various online points of sale or storesand different brands. To provide you with the best possible experience and the widest possible selection of products, the Platform offers you the ability to make purchases through the Platform either online or in person directly at a Point of Sale or Store, as follows:
We operate within an integrated partnership program that enables you to add multiple items from different points of sale or stores to your shopping cart at the same time and make a single payment for all such items on the Platform. To process such payments, it will be necessary to transfer your personal data, delivery data, and in some cases payment data related to such transactions to the relevant point of sale or store from which you are purchasing the products, but only through our secure systems. The personal data, delivery data, and payment data provided to us will be collected, stored, and processed in accordance with our Privacy Policy, as well as the privacy and cookie policies and the terms and conditions of the relevant point of sale or store from which you purchased the products. Such point of sale or store is fully responsible for its use of your personal data, delivery data, and payment data from the moment we transfer such data to it, and you must carefully review their privacy policies before completing any transaction within the integrated partnership program.
Please note that in any case the Company bears no responsibility for fulfilling your order, regardless of whether the purchase of products offered on the Platform is made online or in person at a point of sale or store. For any questions related to your order, you are advised to contact the relevant point of sale or store from which you purchased the product directly. Such questions may include, without limitation, delivery, refunds, exchanges, or returns.
Orders placed through the Platform by any of the methods described above may be subject to additional taxes, duties, fees, charges, and delivery costs. Please note that the product price at checkout may change if such taxes, duties, fees, charges, or delivery costs apply.
After products are delivered to you, you may have the option to return the products. Please note that the Platform operates as an intermediary between you and the point of sale or store from which you chose to make the purchase. Accordingly, please note the following:
Where a point of sale or store agrees to accept a returned product, a refund will be arranged in one of the following two ways:
The Loyal Customer and LEM programs are not investment instruments and do not guarantee income, profitability, or returns.
The Platform does not guarantee you any material benefit, discount, bonus, or other privilege, except for opportunities that are specifically available on the Platform at a given time.
Participation in the programs does not create any agency, partnership, or employment relationship between you and the Platform.
The Loyal Customer program consists of three (3) levels:
a) Level 1 – You first learn about the Platform through a specific sales point and download the application using the QR code provided by that sales point,
b) Level 2 – You already have the Platform application and you scan the QR code of that sales point at the sales point,
c) Level 3 – At that sales point you scan the barcode of a product or service.
Customer level classification is carried out automatically through the Platform’s algorithms and cannot be changed or disputed by you. The Platform may display promotional or informational materials to customers at different levels in accordance with the Platform’s internal logic.
All promotional materials may be public and may also be available to other users. By accepting these Terms and Conditions, you agree to receive promotional offers, notifications, and other advertising messages.
The Lifetime Easy Money (LEM) program is a referral mechanism under which your actions may affect engagement statistics between sales points.
You do not receive any direct payment or income under the LEM program unless otherwise expressly stated on the Platform.
Any report or statistics presented on the Platform are provided in de-identified and aggregated form.
You undertake to use the Platform honestly and lawfully.
The following is prohibited:
a) creation of false or duplicate accounts,
b) artificial scans,
c) attempts to bypass or manipulate systems,
d) other self-referral or technical abuse mechanisms.
In the event of such violations, the Platform has the right to restrict or terminate your access to the Platform without any compensation.
The Platform has the right, at its discretion, to modify the structure, levels, logic, or terms of the Loyal Customer and/or LEM programs.
Modification or termination of the programs does not give rise to any right to compensation or claims by the customer.
Upon termination of the programs, all opportunities arising from your participation cease.
The Platform bears no responsibility for the effectiveness of the programs or for any potential damages incurred by the customer due to technical failures, temporary unavailability, or changes.
The Platform is not responsible for the content of offers, advertisements, or services provided by sales points.
Access to the Platform is provided solely at the Company’s discretion and on a temporary basis, and the Company reserves the right to discontinue access to the Platform at any time without prior notice. The Company bears no responsibility if, for any reason, the Platform is unavailable for any period of time or for any duration. From time to time, your access to the Platform may be restricted in whole or in part due to maintenance or any other reason.
Purchases on the Platform are made in two ways: directly through the Platform and through a Point of Sale or Store. Where a purchase is made through a point of sale or store, all payment processes are carried out in accordance with that point of sale’sor store’s terms and conditions.
Payments made on the Platform are processed by a third-party payment processing service provider. When making a payment on the Platform, you will be required to provide your payment information and billing details to the Platform. Your payment information may be transferred to the third-party payment processing service provider. Your billing details will be transferred to the relevant point of sale or store for the purpose of fulfilling the order and transaction. Please note that the Company bears no responsibility for fulfilling your order.
Payments may be made using any card accepted by the Platform as indicated on the payment page, including credit and debit cards. When making your first payment, the Platform will require you to complete the required fields, which will include personal information such as the full name on the card, delivery address, and payment and billing information. After the first payment, the Platform may offer to remember and store your delivery and billing details. The Company does not store your full bank card details. If the “remember payment details” feature is available, only a token / non-sensitive identifier provided by the payment service provider may be stored in order to facilitate the next payment. You may at any time, at your discretion, modify or delete any payment card details linked to your account. Storage of your information is governed by our Privacy Policy. Please note that, for the purpose of completing the transaction, the Company will transfer your payment information to the payment processing service provider. After such transaction, the collection and storage of your data are subject to the payment processing service provider’s own terms and conditions and privacy policies.
You are hereby informed that all credit and debit cardholders are subject to verification and authorization checks carried out by card-issuing organizations. If at any time the card-issuing organization suspects that a transaction is unlawful or in any way related to money laundering and/or fraud or other criminal activity, the card-issuing organization or the payment processing service provider may suspend or fully reject the transaction. The Company bears no responsibility for any damage or loss you incur as a result of such suspension or rejection.
The Company bears no responsibility for any unlawful or erroneous actions performed at any time by points of sale, stores, or the payment processing service provider.
All intellectual property rights in and to all content included in the mobile application and the Platform, including, without limitation, copyrights, trademarks, registered and unregistered designs, database rights, and domain names, including all texts, graphics, logos, photographs, and images, are the exclusive property of the Company or its licensors or of the point of sale or store and the respective copyright owners, and are protected by applicable laws across different jurisdictions. Any use, including reproduction, modification, distribution, or transmission of any content, is strictly prohibited without the Company’s prior written consent.
Any claim relating to infringement of third-party intellectual property rights may be submitted to [email protected]. Such claims must include a complete and detailed description of the copyrighted work alleged to be infringed, the full name and signature of the copyright owner and/or a person authorized to act on their behalf, the power of attorney authorizing such person to act on behalf of the copyright owner, a detailed description of the material and/or product alleged to be infringing, including its location on the Platform, the complainant’s contact information (including address, phone number, and email address), and a statement that the complainant has a good faith belief that the disputed use has not been authorized by the copyright owner, their agent, and/or the law.
Subject to your compliance with these Terms and Conditions, the Company grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform. This license does not include any resale or commercial use of any service offered on the Platform or its content, including any derivative use of services and/or content available on the Platform. No service offered on the Platform and/or by the Company may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without the Company’s express written consent.
The services offered by the Company and available on the Platform, as well as all information, content, materials, products (including, without limitation, software) and other services included in or otherwise made available to you through the Platform, are provided by the Company on an “AS IS” and “AS AVAILABLE” basis unless otherwise expressly stated in writing.
The Company makes no representations or warranties of any kind, express or implied, regarding the operation of the Platform or the information, content, materials, products, or other services made available to you through the Platform unless otherwise expressly stated in writing.
To the maximum extent permitted by law, the Company disclaims all warranties, express or implied, including, without limitation, implied warranties of merchantability and fitness for a particular purpose. The Company does not warrant that the Platform, services, information, content, materials, products, or other services included in or otherwise made available to you through the Platform, the Company’s servers, or electronic communications sent by the Company are free of viruses or other harmful components. To the maximum extent permitted by law, the Company shall not be liable for damages of any kind arising from the use of any service offered on the Platform or any information, content, materials, products, or other services made available to you through the Platform, including, without limitation, direct, indirect, incidental, punitive, and consequential damages, unless otherwise expressly stated in writing.
Failure by the Company to enforce any right, term, or remedy set out in these Terms and Conditions shall not constitute a waiver of such right or term. If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Any dispute or disagreement arising out of these Terms and Conditions and relating to the Platform or the services offered on the Platform or by the Company shall be resolved through negotiations. If such negotiations do not produce a result, disputes and disagreements shall be resolved in accordance with the applicable laws of the State of Delaware, USA, and by the competent courts.
If any provision of these Terms and Conditions is deemed unenforceable or invalid, this shall not render the entire Terms and Conditions unenforceable or invalid, and such provision shall be amended and interpreted in accordance with the requirements of applicable law and jurisdiction.
