These Terms and Conditions ("Terms and Conditions") govern your use of “Bidygo” ("Platform") provided by Uraaa Inc. ("Company"), a company incorporated in USA, CA. The Platform aims to ensure a thorough online shopping experience by offering you simultaneous access to different online shopping websites and merchants, and enabling you to create your own wishlist and add different items to one cart, price it and price drop, as well as other services on the Platform itself.

By using any of the services offered on the Platform, you agree to abide by and comply with all of the governing provisions set out in these terms and conditions.

Please, read the following terms and conditions carefully. If for any reason you are unable or unwilling to agree to the following terms and conditions, please immediately stop using the Services offered on the Platform and the Platform itself. Otherwise, continued use of the Platform and the services offered therein will be considered as consent to everything in these Terms and Conditions, as well as the Privacy Policy of the Platform.

1. General Terms

1.1These Terms and Conditions, as well as the Privacy Policy, govern the relationship between you and the Company during the continued usage of the Platform. Such relationship may include, but is not limited to interactive usage of the platform, mobile application, emails, newsletters, etc. Any and all relationship between you and the merchant companies available on the Platform are subject to the governance of the terms and conditions, terms of use and other provisions set out by the merchant companies themselves.

1.2The Company retains the right to amend and/or change and/or modify all or part of the terms and conditions set out hereunder at own discretion, at any time and effective immediately upon such notice published on the Platform. Continued use after such notification will constitute your binding acceptance of the Terms and Conditions, including any modifications and/or changed made by the Company as permitted above. We urge you to periodically review the Terms and Conditions and ensure your familiarity with the provisions set out in the most current version.

1.3The Company may at any time, from time to time, restrict access to some or all parts of the services and/or the Platform.

2. Account Creation and Usage

2.1In order to access any of the services offered on the Platform, you may need to open an account, after which you may be required to log in into your account and attach a valid payment method to it. If the Company encounters any problem charging the attached payment method, you may be required to attach another one before your purchase is validated. Your payment method may be changed at any time at your own discretion, provided that you do not have any outstanding payments. You are solely responsible for maintaining the confidentiality of your account details, including password and recovery methods, and for restricting access to your account for third parties. You are solely responsible for any and all activities that occur under your name and your account.

2.2You may register on the Platform manually, by providing the required information, including but not limited to email, phone number, full name, shipping address, etc.

2.3You may register on the Platform using Facebook and Gmail, as well as any other platforms, which allows you to register via your already existing account. If you choose to connect via Facebook and/or Gmail, as well as other platforms, you give the Company access basic information from your respective accounts. This information is collected by Facebook and/or Google, and is, therefore, subject to the terms set out in their own respective privacy policies. The Company has no responsibility and no control over individual account privacy settings and the collection, protection and usage by these entities.

2.4The Platform offers you the option to create a wish list, which will include any and all items selected by you offered on the Platform and by the Merchant. If you choose to make such a wish list public, the items added to the wish list may be visible to other users of the Platform, i.e. your friends list. The Platform offers you the option to restrict visibility of the wish list to a chosen number of users, i.e. your friends list. You may also choose to make your wish list private, which will make it invisible to all users on the Platform, including your friends list. You may choose to share your private wish list to third parties, who will be able to view your wishlist after registering on the Platform. Be forewarned that the person you choose to share your private wish list with may also share it with others. Please, be aware that responsibility for the visibility of your wish list is entirely yours, and the Platform holds no liability for any wrongfully published item on such public wish list.

2.5You warrant that all registration information and personal details provided to the Platform are true and accurate.

2.6The Platform may offer products that are intended for persons under 18. Nevertheless, you must be at least 18 years old to create an account and use the Platform. Persons under the age of 18 may create an account on the Platform only with the involvement of a parent or a legal representative/guardian. Please, be aware that several items offered on the Platform and by the Merchants may be intended for people over 21 years of age. The Company will consider you to be of eligible age unless otherwise notified.

2.7You agree not to use the Platform for any unlawful or prohibited purpose. This includes, but is not limited to, engaging in fraudulent activities, infringing on intellectual property rights, distributing viruses or other malicious software, or interfering with the proper functioning of the Platform.

2.8The Platform reserves the right to refuse, modify or terminate all or part of the service, terminate and/or disactivate your account, as well as cancel orders at any time and at own discretion.

3. Pricing, Reviews, Communication

3.1The Platform offers you the option to price the items available on the Platform and sold by the Merchants on your own, after which the Merchant may accept or reject such pricing, as well as offer you another price for the item. The Company has no responsibility to ensure that the price offered by you will be accepted by the Merchant or that the Product shall be sold to you for the price you offered. The Merchant may approve or reject your pricing according to own terms and conditions. The Company may not price the item on your behalf. We strongly encourage you to communicate with the Merchant directly in case of any queries regarding the acceptance and/or rejection of the pricing.

3.2All item prices are subject to change at any time and without prior notification. Availability of the items is subject to change without prior notification.

3.3The Platform offers you the option to turn on notifications for the price drop of the Product specified by you, meaning that you may choose to get notified when the price of a particular item is dropped anywhere close to the specific amount defined by you. The Platform will notify you of such change, where you have indicated that you wish to be notified of such. However, the Company does not guarantee that such price drop will take place, and holds no responsibility if such price drop does not occur.

3.4Where the price of the item offered by the Merchant varies depending on the specific characteristics of the item, such as color, size, model or other, the Platform displays the range of the price of the Product and not the exact price. In order to find out the exact price of the Product, please, consult the website of the Merchant.

3.5You may post reviews, comments and other type of feedback on the specific item that you have previously bought at your own discretion, so long as the content does not contain anything illegal, obscene, threatening, offensive, defamatory, invasive of privacy, infringing any third-party rights or otherwise unlawful. You may not post any content which contains software viruses, political content, commercial offers, mass mails or any other form of spam. The Company reserves the right to remove and edit any review, comment or other type of feedback posted by you at own discretion. The Company is in no way obligated to monitor any activity in the reviews and comments section, however reserves the right to modify the section at any time. If the Company is notified of any violation of these terms and conditions in the reviews and comments section, the Company reserves the right to remove such violations by any means chosen at own discretion without prior notification.

3.6You may also make notes on the items that you have added to your wishlist or added to the reserved gifts section which may be visible to others, so long as the content does not contain anything illegal, obscene, threatening, offensive, defamatory, invasive of privacy, infringing any third-party rights or otherwise unlawful. You may not post any content which contains software viruses, political content, commercial offers, mass mails or any other form of spam. The Company reserves the right to remove and edit any review, comment or other type of feedback posted by you at own discretion. The Company is in no way obligated to monitor any activity in the reviews and comments section, however reserves the right to modify the section at any time. If the Company is notified of any violation of these terms and conditions in the reviews and comments section, the Company reserves the right to remove such violations by any means chosen at own discretion without prior notification.

3.7The Company is in no way liable for any content, including reviews and comments, posted on the Platform by users. By continued use of the Platform, you are made aware that you may be exposed to Content that may be offensive, harmful, inaccurate or otherwise inappropriate or deceptive. The Company is in no way responsible for any loss or damage incurred as a result of such content posted on the Platform or broadcast elsewhere.

3.8All notes, comments, reviews and other type of feedback on the Products and items which may be visible to you on the Platform, however which are posted on the Merchant’s web sites, are subject to the regulations of the Merchant’s own terms and conditions and discretion. The Company holds no liability for any review, note, comment or other type of feedback visible on the Platform.

4. Purchases on the Platform

4.1The Platform acts as an online intermediary which partners with different online shopping merchants and different brands. In order to give you the best possible experience and the widest possible array of products, the Platform offers 2 ways to make your purchase:

4.1.1Buying from a merchant

4.1.1.1When you choosing a product with the intention to buy it, you may be directed to the third party Platform merchant (the "Merchant") website and asked to provide further personal details, which are likely to include your billing and delivery address, and payment card details. You are being taken here because that Merchant is not part of our integrated partnership program. The personal details you enter on these Merchant websites will be collected, stored and processed in accordance with the terms and conditions and privacy policy of these websites. You must read and accept the terms and conditions and privacy and cookie policies of the Merchant website before purchasing your items from them. The Company is not responsible for the terms and conditions, privacy policies of and/or practices on other sites. The Merchants are solely responsible for any and all issues related to products and services offered on their websites, including but not limited to issues arising from the processing of your transactions on the Merchant websites. We are only responsible for personal information collected on the Platform.

4.1.2Buying from the Platform

4.1.2.1We operate an integrated partnership program, allowing you to add multiple items from various Merchants to your shopping cart and checkout all these items on the Platform. It is a neat and efficient way of buying all your items in one go. In order to process these payments we will need to share your personal data, shipping details and, in some cases, payment details that are related to such transactions with each of the Merchants from whom you are purchasing the products, but only using our secure systems. The personal data, shipping details and payment details you provide to us will be collected, stored and processed in accordance with our Privacy Policy and in accordance with the privacy and cookies policies, as well as the terms and conditions of the Merchants from whom you have purchased the products. These Merchants are solely responsible for their use of your personal data, shipping details and payment details once we share the data with them, and you should carefully review their privacy policies before completing a transaction on our integrated partnership program.

4.1.3Please, be aware that in any case, the Company has no responsibility for the fulfillment of your order, regardless of how you purchase the items offered on the Platform. For any issues, regarding the order, you are advised to contact the Merchant directly, from whom you have bought the item. Such issues may include, but are not limited to any inquiries you might have on the delivery, refund, exchange or return of the items you purchase.

4.1.4Orders placed via the Platform, by any of the means described above may be subject to additional taxes, duties, fees, charges and shipping costs. Please, be forewarned that the price of a Product may change at checkout if it is subject to any such taxes, duties, fees, charges and shipping costs applicable.

5. Returns and Refunds

5.1After delivery of the items to you, you may have the option to return the items. Please, be aware that the Platform acts as an intermediary between you and the Merchant from whom you choose to make your purchase. Therefore, please, be aware to the following:

·All payment information is collected and stored by Braintree, which is a third party payment provider. For further details on the security measures undertaken by Braintree, refer to the privacy policies of Braintree.

·The Merchants may request the reason for the return and may refuse to accept returns according to the criteria set out on the Merchant’s terms and conditions and/or return policies. Please consult the return policy of the Merchant for a list of acceptable reasons.

·Certain product categories or items may be non-refundable based on the policies set by the Merchant. Please review the return policy of the specific shop to determine if any items are non-refundable.

·The Merchants may require you to provide proof of purchase, such as order confirmation or receipt, as specified by the return policy of the Merchant.

·The return shipping process will be handled according to the guidelines established by the Merchant. Please, refer to the return policy of the respective shop to understand their responsibilities regarding return shipping costs.

·The eligibility criteria for returns will be determined by the Merchant. You should review the return policy of the specific shop to understand the conditions or criteria that need to be met for a product to be eligible for a return (e.g., unused, unopened, in original packaging).

·The method of refund will be in accordance with the policies of the Merchant. Please refer to the return policy of the respective shop to determine whether customers will receive a full refund or store credit.

·If a product arrives damaged during shipping, you should follow the instructions provided by the Merchant’s return policy to request a return or refund for the damaged item.

·Any additional customs fees or taxes related to returns or refunds will be divided among you and the Merchant, as specified by the return policy of the Merchant.

5.2When the Merchant company agrees to accept the returned item, the refund will be organized in the following two ways:

·When you have bought the item directly from the Merchant, the refund will be organized according to the Merchant’s own return and refund policies and terms and conditions,

·When you have bought the item through the Platform, the Company will refund you upon receiving confirmation from the Merchant that the item is eligible for refund according to their own terms and conditions and refund policies.

6. Accessibility of the Platform

6.1Access to the Platform is permitted upon the sole discretion of the Company and on a temporary basis, and the Company reserves the right to terminate the accessibility of the Platform at any time and without prior notice. The Company is not liable if for any reason the Platform is unavailable at any time or for any period. From time to time, your access to the Platform may be restricted in whole or in part, for technical maintenance or any other reason.

7. Payments

7.1Purchases on the Platform are made by two methods: directly through the Platform and through the Merchant. When making the purchase through the Merchant, all payment processes are in accordance to the Merchant’s terms and conditions.

7.2Payments made on the Platform are processed by Braintree, a third party payment process provider. When making payments on the Platform, you will be asked to provide your payment information and billing details to the Platform. Your payment information may be shared with the third party payment process provider. However, your payment information will not be provided to the Merchants from whom you have chosen to make your purchase. Your billing information will be provided to the Merchants so that the order and the transaction may be completed. Please note, that the Company has no responsibility for the fulfillment of your order.

7.3Payments can be made by any card accepted by the Platform, as indicated in the payment page, including credit and debit cards. When you make your first payment, the Platform will ask you to fill out the necessary fields, which will include personal information, such as full name as indicated on the card, shipping address, as well as payment information and billing information. After the first time payment the Platform will offer you the option to remember and store your shipping, payment and billing information, including card details. You may change or delete any existing payment card details attached to the account at any time at your own discretion. The storage of your information is governed by our Privacy Policy . Please, be aware that the Company will share your payment information with Braintree in order to complete the transaction. The storage and collection of your data after such transaction is subject to Braintree’s own terms and conditions and privacy policies.

7.4You are hereby forewarned that all credit and debit card holders are subject to validation checks and authorization by card issuers. If your card issuer refuses to authorize the payment, the Platform has no responsibility for any delay or non-delivery. Moreover, if at any point the card issuer or Braintree suspect the transaction of being unlawful in nature, or in any way related to money laundering and/or fraudulent or any other criminal activity, the card issuer or Braintree may choose to suspend and/or restrict and/or terminate such transaction. The Company is in no way liable for any loss or damage incurred by you as a result of such termination, suspension or restriction.

7.5The Company is always conscious of site and service security needs and takes reasonable care to ensure the security of the Platform. All personal and payment information provided by you will be fully encrypted and only used for the purpose it was provided for. However, in the absence of any negligence on the Company’s part, the Company is not liable for any loss or damage you may suffer if a third party gets unauthorized access to your password, account, makes any unauthorized purchase from your account or procures any unauthorized access to any data you provide when accessing or ordering through the Platform.

7.6The Company is not liable for any wrongful action on the part of Merchants or Braintree at any point.

8. License and Intellectual Property

8.1All intellectual property rights, including but not limited to copyright, trademarks, registered and unregistered designs, database rights and domain names in all content included on the mobile application and on the Platform, including but not limited to all text, graphics, logos, photographs and images, are the exclusive property of the Company or its licensors or the Merchants and the copyright owners and are protected by applicable legislation around the world. Any commercial use, including the reproduction, modification, distribution and transmission of any content is strictly prohibited without the prior written consent of the Company.

8.2Any allegations of infringements of third-party intellectual property rights may be directed to [email protected], to submit such complaints. Such complaints should include full and in detail description of the copyrighted work that has allegedly been infringed upon, the full name and signature of the copyright owner and/or the person authorized to act on behalf of the owner, the authorization issued by the copyright owner to act on their behalf, an in detail description of the material and/or item that is allegedly the source of the infringement, including its location on the Platform, the contact information of the person submitting the complaint, including the address, telephone number and e-mail address, as well as a statement that the person submitting the complaint has a good-faith belief that the disputed use has not been authorized by the copyright owner, their agent and/or the law.

8.3Subject to your compliance with these terms and conditions, the Company grants you a non-exclusive, non-transferable,non-sublicensable, revocable license to access and use the Platform. This license is exclusive of any resale or commercial use of any of the Platform services or its contents, including any derivative use of the services and/or content available on the Platform. No service offered on the Platform and/or by the Company may be reproduced, duplicated, copied, sold, resold, visited or otherwise exploited for any commercial purpose without the explicit written consent of the Company.

9. Warranties and Liability

9.1The services offered by the Company and available on the Platform, as well as all information, content, materials, products, including but not limited to software, and other services included on or otherwise made available to you through the Platform are provided by the Company on an "as is" and "as available" basis, unless otherwise specified in writing.

9.2The Company makes no representations or warranties of any kind, express or implied, as to the operation of the Platform, or the information, content, materials, products or other services included on or otherwise made available to you through the Platform, unless otherwise specified in writing.

9.3To the full extent permitted by law, the Company disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. The Company does not warrant that the Platform,the services, information, content, materials, products or other services included on or otherwise made available to you through the Platform, the Company’s servers or electronic communications sent from the Company are free of viruses or other harmful components. To the full extent permitted by law, the Company shall not be liable for any damages of any kind arising from the use of any services offered on the Platform, or from any information, content, materials, products or other services included on or otherwise made available to you through the Platform, including, but not limited to direct, indirect, incidental, punitive, and consequential damages, unless otherwise specified in writing.

10. Other terms

10.1The failure of the Company to enforce any rights, terms or remedies set out in these Terms and Conditions shall not be deemed a waiver of such right or provision. In the event that any provision of these Terms and Conditions is held to be invalid or unenforceable, the remaining provisions of these Terms and Conditions will remain in full force and effect.

10.2Any dispute or disagreement arising out of these terms and conditions and relating to the services offered on the Platform or by the Company will be resolved through negotiations. If such negotiations fail, disputes and disagreements shall be settled exclusively by arbitration in London, UK in accordance with the London Chamber of Arbitration and Mediation.

10.3If any clause in these Terms and Conditions is found unenforceable or invalid by, this does not constitute unenforceability or invalidity of the entire Terms and Conditions, and such clause shall be modified and interpreted in accordance to the requirements of the applicable law and jurisdiction.
